王直(Z. Jay Wang)教授现任美国俄勒冈大学Lundquist商学院金融学教授,金融系系主任。王教授先后获得北京大学经济学学士、爱荷华州立大学统计学硕士和经济学博士学位,以及密歇根大学金融学博士学位。其主要研究领域为资产管理、机构投资者及金融市场,在共同基金、对冲基金、封闭式基金、债券市场流动性以及机构投资者等领域开展了大量研究。王教授的研究成果发表于 Review of Financial Studies、Journal of Financial Economics、Journal of Financial and Quantitative Analysis、Journal of Financial Intermediation、Contemporary Accounting Research 等国际重要金融与会计期刊,并长期活跃于国际金融学术界。
内容提要:
In this lecture, professor Wang studies the relation between firms’ ownership structures and their environmental, social, and governance (ESG) practices. We find that private firms, especially those backed by private equity (PE), significantly underperform their public counterparts in overall ESG engagement. ESG performance improves for firms transitioning to public ownership compared to matched control groups, while firms going private are found to have reduced ESG measures after transitioning from public ownership. Compared to public firms, PE-backed private firms align ESG practices more closely with profit motives, avoiding ESG engagements that are detrimental to profitability. These results also suggest that the value delivered by ESG may lie in non-financial factors.
在本次讲座中,王教授探讨企业所有权结构与其环境、社会和公司治理(ESG)实践之间的关系。王教授的研究发现,与上市公司相比,非上市公司在整体ESG参与方面的表现显著较弱,尤其是获得私募股权(PE)投资的非上市公司。与匹配的控制组相比,当企业从非上市状态转变为上市公司后,其ESG表现显著改善;相反,当企业从上市公司转变为非上市公司后,其ESG相关指标有所下降。进一步研究发现,与上市公司相比,PE支持的非上市公司会更加紧密地将ESG实践与盈利目标相结合,并倾向于避免开展可能损害企业盈利能力的ESG活动。研究结果还表明,ESG所创造的价值可能更多地体现在非财务因素方面,而非直接体现为企业的财务收益。
